Il Socio (“Titolare”) si impegna a rispettare i seguenti “Termini e Condizioni” per beneficiare del servizio di Concierge fornito da Quintessentially Concierge S.R.L. (“Quintessentially” o “la Società”) e accetta che i presenti “Termini e Condizioni” si applichino ad ogni suo ordine qualora la prestazione sia richiesta ad un Fornitore di prodotti o servizi (“Fornitore”).

1. REGOLE DEL SERVIZIO

  1. Il servizio di Concierge di Quintessentailly consente al Titolare di accedere ad un servizio di assistenza personale 24/7 per esigenze di piacere quali ad esempio la prenotazione di ristoranti, l’acquisto di biglietti per concerti, la prenotazione di viaggi, etc.
  2. Il Titolare è tenuto a fornire dati e informazioni corrette ogniqualvolta effettua una richiesta. Tale obbligo è costante e il Titolare è tenuto a comunicare tempestivamente a Quintessentially eventuali cambiamenti di qualunque dato fornito. Il rifiuto di comunicare dati e informazioni corrette così come la comunicazione di informazioni errate e/o incomplete comporterebbe l’impossibilità di eseguire le obbligazioni di cui ai presenti Termini e Condizioni e/o di garantire un’agevole e puntuale attuazione del relativo rapporto contrattuale.
  3. L'Iscrizione è personale. Il Titolare è tenuto a garantire che nessun altro utilizzi il servizio di Concierge.
  4. Il Titolare ha il diritto di nominare rappresentanti personali per effettuare richieste, discutere di richieste aperte e modificare richieste per conto del Titolare.
  5. I rappresentanti personali non hanno il diritto di utilizzare il servizio per uso proprio.
  6. Quintessentially si riserva il diritto di accettare commissioni sulla fornitura di prodotti o sulla prestazione di servizi da parte di Fornitori.

2. BENEFICI DELLA SOTTOSCRIZIONE

  1. Il Titolare ha diritto ai Benefici riservati ai Soci Quintessentially per tutta la durata del suo rapporto contrattuale con Quintessentially.
  2. Il Titolare prende atto e accetta che i Fornitori di Benefici e i Benefici stessi sono soggetti a disponibilità e possono variare di volta in volta senza preavviso.
  3. È obiettivo di Quintessentially far sì che i Benefici siano sempre disponibili e di organizzarne costantemente la disponibilità di nuovi, così che il Titolare possa trarre il massimo beneficio dalla sua membership. Qualora una qualunque prestazione non fosse più disponibile, Quintessentially farà tutto quanto in suo potere per garantire che gli impegni presi siano onorati nella migliore misura possibile.

3. UTILIZZO

3.1 Il Titolare può inviare richieste solo attraverso via telefonica o via e-mail.

3.2 Quintessentially mette a disposizione del Titolare i servizi richiesti, in italiano o in inglese. Tra questi si annoverano la comunicazione di informazioni, l'accesso ad eventi, attività e location, prodotti e servizi. Tuttavia, Quintessentially non è tenuta a fornire o a facilitare l'accesso a prodotti e/o servizi che ritenga possano violare la legge, le norme e/o le regolamentazioni vigenti. Lo stesso dicasi per prodotti e/o servizi che nell'ambito giuridico vigente siano contrarie al comune buon gusto o immorali.

Quintessentially si riserva il diritto di ritirare qualunque servizio e/o di rifiutarsi di fornire i servizi richiesti.

3.3 Quintessentially farà tutti gli sforzi ragionevoli per effettuare la prestazione entro la data nel caso in cui questa fosse indicata, ma tali date saranno unicamente delle stime e la tempistica non sarà condizione essenziale per la prestazione dei servizi. Qualora Quintessentially non fosse in grado di soddisfare una richiesta, lo comunicherà tempestivamente e comunque non oltre 30 minuti dal momento in cui ne è venuta a conoscenza.

3.4 I rispettivi Fornitori rispondono per i servizi, i prodotti e i benefici selezionati dal Titolare. Quintessentially comunicherà con i Fornitori per conto del Titolare, salvo i casi in cui si ritiene più appropriato che il Titolare contatti il Fornitore direttamente.

3.5 I Fornitori possono imporre propri termini e condizioni, che il Titolare è tenuto a rispettare. Quintessentially, pertanto, raccomanda al Titolare di prenderne visione anche in considerazione del fatto che tali termini e condizioni potrebbero contenere clausole che contengono limitazioni alla facoltà di opporre eccezioni, effettuare resi e ottenere rimborsi, e/o che contengano decadenze particolari direttamente applicabili al Titolare e di cui Quintessentially non potrà essere ritenuta responsabile.

3.6 Al momento dell’ordine, ciascun Titolare potrà chiedere che Quintessentially effettui il pagamento su suo mandato utilizzando Carta di Pagamento del Titolare stesso. In questo caso, il Titolare dovrà fornire a Quintessentially i dati della propria Carta di Pagamento. Resta inteso che la comunicazione dei dati della Carta di Pagamento è assolutamente facoltativo e a discrezione del Titolare il quale, tuttavia, prende atto del fatto che in mancanza di comunicazione l’eventuale pagamento da lui/lei richiesto non potrà essere effettuato e non sorgerà, in questo caso, alcuna responsabilità a carico di Quintessentially.

Se il Titolare chiede e acconsente che Quintessentially utilizzi la sua Carta di Pagamento per pagare un Fornitore per prodotti o servizi, prende atto e accetta che Quintessentially non risponde in alcun modo dell'uso di tale Carta di Pagamento, purché Quintessentially abbia agito pedissequamente secondo le istruzioni impartite dal Titolare in merito.

3.7 Il Titolare si impegna a fornire dati corretti ai fini della prenotazione, dell'ordine o dell'acquisto di prodotti o servizi, garantisce di essere titolare della Carta di Pagamento utilizzata e che vi sono sufficienti disponibilità per coprire il

costo del prodotto o servizio.

3.8 Talvolta l'acquisto o la fornitura di alcuni servizi, prodotti o benefici può comportare l'addebito di una commissione di gestione (di cui al Titolare sarà data preventiva comunicazione scritta): in questi casi il Titolare si riserva di autorizzare Quintessentially ad addebitare sulla sua Carta di Pagamento anche la commissione di gestione.

3.9 Su ordine del Titolare, Quintessentially può acquistare beni o servizi per suo conto. Nel caso in cui agisca da mediatore a questo proposito, il Titolare autorizza Quintessentially ad addebitare la somma a credito sulla sua Carta di Pagamento entro 30 giorni dalla data del pagamento. Qualora Quintessentially dovesse pagare beni o servizi in contanti, avrà diritto di aggiungere alla somma addebitata sulla Carta di

Pagamento del Titolare le eventuali commissioni della Carta di Pagamento.

3.10 Salvo diverso accordo con il Fornitore, il Titolare non ha facoltà di annullare i servizi richiesti quando, sulla base delle istruzioni fornite, la prestazione è già iniziata.

3.11 Le chiamate telefoniche effettuate a Quintessentially possono essere, previo specifico avviso informativo, monitorate o registrate in conformità alla normativa applicabile.

4. SERVIZI DI VIAGGIO

4.1 I servizi, compresi i biglietti e i pacchetti vacanze, acquistati tramite Quintessentially, saranno soggetti ai termini e alle condizioni dell’operatore di viaggi o vacanze e del Fornitore.

Quintessentially non è un agente di viaggi né un tour operator autorizzato e agisce unicamente da intermediario per conto del Fornitore. Tutti i diritti e rimedi di cui gode il Titolare devono essere fatti valere nei confronti del rispettivo Fornitore.

5. SERVIZI DI PRENOTAZIONE RISTORANTI E CLUB

5.1 Utilizzando il servizio di prenotazione ristoranti, il Titolare autorizza Quintessentially ad addebitare sulla sua Carta di Pagamento l'eventuale deposito versato da Quintessentially per suo conto al ristorante, che va perso in caso di annullamento della prenotazione.

5.2 Utilizzando il servizio di prenotazione di ristoranti, il Titolare prende atto e accetta che, qualora annulli una prenotazione con meno di 24 ore di preavviso, non avrà diritto al rimborso delle eventuali somme versate a garanzia della prenotazione, ivi compresa, a titolo esemplificativo e non esaustivo, la restituzione dell'eventuale deposito.

5.3 Quintessentially si riserva il diritto di rifiutare richieste di prenotazione di ristoranti da parte del Titolare qualora quest'ultimo abbia ripetutamente mancato di rispettare le proprie prenotazioni o abbia costantemente violato le condizioni di annullamento.

5.4 L'ammissione dei Titolari alle sedi di club avviene sempre ad esclusiva discrezione della Direzione del club, e Quintessentially non risponde dell'eventuale rifiuto di accesso al Club del Titolare.

6. BIGLIETTI

6.1 Quintessentially si impegna a procurare i "migliori biglietti", anche per gli eventi i cui posti sono esauriti, direttamente o tramite uno dei suoi Partner di biglietteria. Si ricorda che l'acquisto dei biglietti tramite Quintessentially o tramite uno dei nostri Partner avviene a un prezzo superiore a quello nominale, comprendente i costi del servizio a copertura dei costi e delle attività che Quintessentially deve svolgere per

ottenere i posti migliori.

6.2 I rimborsi o annullamenti dei biglietti acquistati sono soggetti ai termini e condizioni relativi al Fornitore dei biglietti.

6.3 In caso di annullamento di eventi direttamente da parte dell'artista/organizzatore, è garantito il rimborso unicamente del prezzo nominale del biglietto. Le spese di consegna non sono rimborsabili.

6.4 Quintessentially e i suoi partner di biglietteria non rispondono della mancata consegna dei biglietti da parte del servizio di consegna o di posta.

6.5 Quintessentially o i suoi partner di biglietteria solitamente spediscono i biglietti entro 2 giorni dalla prenotazione, se questi sono già disponibili. Alcuni eventi prevedono però limitazioni alla consegna, e i biglietti sono spediti solo la settimana precedente all'evento. In alcune occasioni, è possibile che nostri incaricati consegnino gratuitamente i biglietti al Titolare il giorno stesso dell'evento.

6.6 Quintessentially e i suoi partner di biglietteria si riservano il diritto di cambiare i biglietti in altri di valore superiore, senza

costi aggiuntivi, in altri di valore inferiore (con rimborso parziale) o di annullare l'ordine con un rimborso integrale.

7. ACQUISTO DI PRODOTTI

7.1 Qualora il prodotto o il servizio non sia disponibile, i Fornitori possono offrire al Titolare prodotti sostitutivi di natura simile e

standard, che il Titolare può comunque rifiutare, ricevendo il rimborso integrale.

7.2 Tutte le descrizioni di prodotti o servizi sono state approvate dal rispettivo Fornitore. Quintessentially non risponde di descrizioni di prodotti imprecise o fuorvianti. I prodotti possono discostarsi lievemente dalle immagini presentate, anche se verrà fatto ogni sforzo per garantire che tutte le descrizioni dei prodotti siano quanto più precise possibile.

7.3 Il pagamento del prezzo di acquisto di tutti i prodotti e servizi è esigibile all'accettazione dell'ordine da parte del Fornitore, o da parte di Quintessentially, a seconda del caso.

7.4 Nel caso di ordini consegnati al di fuori dell’UE, eventuali oneri relativi a dazi o tasse sulla vendita saranno a carico esclusivo del Titolare. Quintessentially non si assume alcuna responsabilità per articoli trattenuti dalle autorità doganali e di frontiera.

7.5 In caso di consegne da effettuarsi a mezzo corriere, ove il Titolare non fosse reperibile al primo tentativo di consegna, questi potrebbe essere sottoposto a costi aggiuntivi connessi alla richiesta di consegna ulteriore da parte del soggetto incaricato della spedizione.

8. RESTITUZIONE

8.1 La restituzione dovrà avvenire in conformità ai termini ed alle condizioni del Fornitore, inclusi gli eventuali limiti. La responsabilità di conservare le evidenze della restituzione di prodotti ad un Fornitore sarà unicamente in capo al Titolare. Quintessentially raccomanda di restituire i prodotti tramite plico raccomandato o qualsiasi altro mezzo che consenta di accertare la data della spedizione della merce da restituire, tracciandone il percorso. Il Fornitore ha il diritto di addebitare il costo per ogni eventuale danno o parte mancante. Ove possibile, Quintessentially informerà il Titolare quando verrà a sapere che il rimborso su un ordine è stato preso in carica da

un Fornitore.

9. RESPONSABILITÀ

9.1 Quintessentially si impegna a prestare i servizi con ragionevole cura e perizia e, per quanto possibile, secondo le richieste e istruzioni di volta in volta impartite dal Titolare. Qualora Quintessentially metta a disposizione del Titolare beni o servizi forniti da terzi, Quintessentially svolge funzione di agente del Titolare nell'ambito dell'acquisto dei beni e servizi. Quintessentially presterà ragionevole diligenza nel selezionare il Fornitore e nel garantire che l'ordine sia a quest’ultimo inoltrato secondo i desideri del Titolare. Al fine di evitare dubbi, Quintessentially non si esprime né dà raccomandazioni in alcun modo sulle informazioni o sui suggerimenti relativi ai servizi. Il Titolare è tenuto ad applicare le proprie competenze e facoltà di giudizio in merito alla qualità, al valore e all'idoneità di tali informazioni e suggerimenti per decidere se stipulare o meno un contratto con il soggetto terzo per la fornitura di servizi o la vendita di prodotti, di cui si assume l'esclusiva responsabilità.

9.2 Il contratto del Titolare per l'acquisto di beni o servizi è stipulato esclusivamente con il relativo Fornitore. Quintessentially agisce da agente per il Fornitore e salvo diverso esplicito accordo, tutti i diritti e rimedi che il Titolare può vantare devono essere fatti valere nei confronti del Fornitore. I presenti Termini e Condizioni non conferiscono alcun diritto o rimedio ad altri soggetti nel quadro della legge vigente.

9.3 Quintessentially non risponde dei prodotti e servizi offerti in veste di agente per i Fornitori o per i rapporti tra il Titolare e uno specifico Fornitore. Quintessentially farà comunque tutto quanto possibile per assistere ragionevolmente il Titolare nei rapporti con il Fornitore.

9.4 Il Titolare accetta che ogni contratto stipulato con un Fornitore costituisce un contratto autonomo. Quintessentially declina ogni responsabilità per atti od omissioni dei Fornitori o per danni subiti dal Titolare in conseguenza di atti od omissioni di un Fornitore, a prescindere dall'eventuale coinvolgimento di Quintessentially.

9.5 Eccetto che in caso di morte e danni alla persona causati da colpa grave o dolo di Quintessentially, o nei casi espressamente previsti nei presenti Termini e Condizioni, Quintessentially non risponde di danni, costi, spese o perdite di qualunque natura (diretti o indiretti) causati dalla fornitura dei servizi o dovuti all'affidamento che il Titolare ha fatto su informazioni e suggerimenti forniti da Quintessentially e alla

conseguente fornitura di beni e servizi al Titolare da parte di un terzo.

9.6 Quintessentially non risponde nei confronti del Titolare per perdite, danni, costi, spese o altre pretese di risarcimento derivanti da richieste o istruzioni impartite dal Titolare che risultano incomplete, non corrette o imprecise, o pervenute in ritardo o non pervenute affatto, o da ulteriori mancanze imputabili al Titolare.

9.7 Quintessentially non risponde nei confronti del Titolare per perdite, danni, costi, spese o altre pretese di risarcimento derivanti da richieste inviate dal Titolare per conto di altri soggetti. Inoltre, tali soggetti non hanno titolo ad agire direttamente né indirettamente tramite il Titolare o altri soggetti contro Quintessentially per danni, perdite, costi,

spese o altre pretese di risarcimento derivanti da richieste inviate dal Titolare a beneficio di altri soggetti.

9.8 Su richiesta scritta da parte di Quintessentially, il Titolare dovrà indennizzare quest’ultima da qualsiasi costo sostenuto o perdita subita derivante direttamente dal comportamento del Titolare.

9.9 Quintessentially non risponde nei confronti del Titolare e non sarà ritenuta inadempiente rispetto ai presenti Termini e Condizioni per ritardo nell'adempimento, o mancato adempimento, di suoi obblighi inerenti a servizi, qualora il

tardivo o mancato adempimento sia dovuto a cause che esulano dal suo ragionevole controllo.

9.10 Nella misura consentita dalle leggi vigenti, la responsabilità massima è limitata al valore dei servizi forniti al Titolare fino alla data della rivendicazione.

9.11 Questa sezione si applica unicamente nella misura

consentita dalla legge.

10. VARIAZIONE DELLE REGOLE DELLA MEMBERSHIP

10.1 Quintessentially può modificare i Termini e le Condizioni di volta in volta, esclusivamente a condizione di darne preventiva e tempestiva comunicazione scritta al Titolare e consentendo a quest’ultimo, in caso di suo disaccordo, un termine (non inferiore a 15 giorni) entro il quale recedere liberamente dall’Accordo senza penali e costi aggiuntivi a suo carico. Le comunicazioni avverranno utilizzando uno o più dei

seguenti mezzi: e-mail; posta o altro servizio di consegna di persona.

10.2 Il continuo uso del servizio costituisce il consenso dei Termini e Condizioni modificate.

11. DIRITTO APPLICABILE E FORO COMPETENTE

11.1 I presenti Termini e Condizioni sono disciplinati dal diritto italiano e sottoposti all'esclusiva competenza del tribunale di Milano.

12. DATI PERSONALI

12.1 I dati personali dei Titolari saranno trattati nel rispetto del Regolamento UE 2016/679 “Regolamento Generale sulla protezione dei dati” (GDPR) e con tutte le altre leggi locali applicabili nei termini stabiliti nel documento informativo.

TERMS AND CONDITIONS

CONCIERGE SERVICES LIFESTYLE BY QUINTESSENTIALLY CONCIERGE S.R.L.

The Member (“Member”) undertakes to comply with the following “Terms and Conditions” to benefit from the Concierge Services provided by Quintessentially Concierge S.R.L (“Quintessentially” or “the Company”) and agrees that these “Terms and Conditions” shall be applied to any order placed by the Member with a supplier of products or a provider of services (“Provider”).

1. TERMS OF THE SERVICE

  1. The Concierge service by Quintessentially grants the Member access to a 24/7 personal assistance Service to cater for leisure needs like, for example the booking of a restaurant, the purchase of concert tickets, the reservation of a trip, etc.
  2. Whenever placing a request, the Member must provide correct personal details and information. This is a continuing obligation, and the Member must promptly notify to Quintessentially any change in the data provided. Refusal to communicate the aforementioned data and information as well as the communication of incorrect or incomplete information may result in the impossibility to perform the contractual obligations envisaged by these Terms and Conditions or to ensure their smooth and timely implementation.
  3. The Membership is personal. The Member must ensure that no one else will use the Concierge Service.
  4. The Member may appoint personal representatives to make requests, discuss open requests, and modify requests on behalf of the Member.
  5. The personal representatives may not use the service for own use.
  6. Quintessentially reserves the right to accept commissions on the supply of products or the provision of services from any supplier or Provider.

2. MEMBERSHIP BENEFITS

2.1 The Member is entitled to the Benefits reserved to the Members of Quintessentially for the whole duration of the contract with Quintessentially.

2..2 The Member understands and agrees that the Benefits and their Providers are subject to availability and that, from time to time, they may vary without notice.

2.3 It is Quintessentially’s objective to ensure that the Benefits are always available and that new ones are constantly added, so that the Member may enjoy its membership to the fullest extent. Should a particular Benefit be no longer available we shall use our best endeavours to ensure that the commitments undertaken are honoured in the best possible way.

3. OPERATION

3.1 Members may forward their requests only by telephone or e-mail.

3.2 Quintessentially shall put at the disposal of its Members the services requested either in Italian or in English. These comprise the forwarding of information, access to event, activities and locations, products and services. Nevertheless, Quintessentially is not obliged to deliver or facilitate access to products or Services that it deems may violate laws and regulations in force or be against public order.

Quintessentially reserves the right to withdraw any Service and /or to refuse to provide the Services requested.

3.3 Quintessentially shall use its reasonable endeavours to meet any performance dates specified, but any such dates shall be estimates only and time shall not be an essential condition for the performance of any Service. Should Quintessentially be unable to meet a request it will timely inform the member concerned and in any case within 30 minutes.

3.4 Full responsibility for any product, service or benefit selected by the Members is on the Providers, each for its own part. Quintessentially shall communicate with the Providers on behalf of the Members, unless it is deemed more appropriate that a Member contacts a Provider directly.

3.5 The Providers may impose their own terms and conditions, which the Member will have to respect. Therefore, Quintessentially recommends to its Members to read the terms and conditions for the provision also because these may contain limitations to claims, returns and refunds or specific expiry terms directly applicable to the Member, of which Quintessentially may not be held accountable.

3.6 At the time of the Order, each Member will be entitled to ask to Quintessentially to make the payment on their behalf using the Member’s payment card. In this case, the Member shall provide Quintessentially with the details of their own payment card.

It is intended that the provision of the payment card data is not mandatory but at the discretion of the Member who, however, acknowledges and agrees that in case of lack of communication of such data the payment on their behalf will not be completed and no liability will arise on Quintessentially due to the non-performance of the service.

If the Member allows Quintessentially to use their payment card to pay a Provider for products or Services, the Member understands and agrees that Quintessentially may not be held liable in any way for the use of their payment card, provided that Quintessentially has strictly abided by the instructions received from the Member.

3.7 The Member undertakes to provide correct data when reserving, ordering or purchasing products and services; guarantees to be the owner of the payment card used; and ensures that there are sufficient funds to cover the cost of the product or Service.

3.8 At times the purchase or the provision of some Services, products or Benefits may entail the debiting of a handling fee (communicated to the Member in advance, in writing): in this case the Member reserves the right to authorise Quintessentially to debit their or her payment card also of the handling fee.

3.9 When instructed to do so by the Member, Quintessentially may purchase goods or services on their behalf. Should in this respect Quintessentially act as a middleman, the Member authorises Quintessentially to charge their payment card any amount due within 30 days from the payment date. Should Quintessentially pay for products or Services in cash, it shall be entitled to add to the amount debited on the Member‘s Payment card also any Payment card processing fees.

3.10 Unless otherwise agreed with the Provider, the Member may not cancel any Service requested when, as per instructions, the performance has already commenced.

3.11 After specific notice, phone calls made to Quintessentially may be monitored or recorded in accordance with applicable rules and regulations.

4. TRAVEL SERVICES

4.1 Travel Services, including tickets and holiday packages, purchased through Quintessentially, shall be subject to the terms and conditions of the tour operator or holiday Provider. Quintessentially is not an authorised travel agent nor a tour operator and acts solely as a middleman on behalf of the Provider. All the rights and remedies at the disposal of the Member shall be enforced against the Provider concerned.

5. RESTAURANT AND CLUB BOOKING SERVICE

5.1 When using the restaurant booking service, the Member authorises Quintessentially to debit their payment card any deposit disbursed by Quintessentially on their or her behalf, which is forfeited as a consequence of cancellation.

5.2 When using the restaurant booking Service, the Member understands and agrees that, should a reservation be cancelled less than 24 hours in advance, he or she will not be entitled to any refund of the monies disbursed to secure the reservation like, by way of non-limiting example, as a deposit.

5.3 Quintessentially reserves the right to deny restaurant booking requests coming from Members repeatedly failing to honour their bookings or continuously breaching cancellation policies.

5.4 Admission of Members to any club premises is at all times at the sole discretion of the club’s management, and Quintessentially shall have no liability if a Member is refused admission to a club.

6. TICKETS

6.1 Quintessentially shall use its best endeavours to obtain “best tickets”, also for sold-out events, either directly or through one of its ticket agent partners. Please note that the price for tickets purchased through Quintessentially or one of its Partners is above face value and it includes handling fees and other expenses borne by Quintessentially to obtain the best seats.

6.2 Cancellations and refunds on tickets purchased are subject to the terms and conditions of the ticket Provider concerned.

6.3 In the event of a show being cancelled directly by the artist or the promoter, only the refund of the ticket face value is guaranteed. Delivery expenses are non-refundable.

6.4 Quintessentially and its ticket agent partners shall not be liable for any failure to deliver tickets by couriers or the mail service.

6.5 Quintessentially or its ticket agent partners usually send tickets within 2 days from reservation, provided that they are already available. Delivery limitations may apply for some events and in such cases, tickets will be sent only in the week preceding the show. Occasionally our staff may deliver for free the tickets to the Member on the day of the event.

6.6 Quintessentially and its ticket agent partners reserve the right to upgrade tickets at no additional cost, to substitute them with

cheaper tickets (offering a partial refund) and to cancel an order, offering a full refund.

7. PURCHASE OF PRODUCTS

7.1 If a product or Service is not available, the Providers may offer the Member substitute products of similar kind and standards that in any case the Member may refuse, receiving a full refund.

7.2 All the descriptions of products and Services have been approved by the relevant Provider. Quintessentially shall not be liable for inaccurate or misleading descriptions. Products may slightly vary from the pictures shown, but the best endeavours will be made to ensure that all the product descriptions are as accurate as possible.

7.3 For any product or service the payment of the purchase price is due immediately upon acceptance of the order by the relevant Provider or, if applicable, by Quintessentially.

7.4 In the case of orders delivered outside the EU, any applicable customs duties and sales taxes shall be entirely on the Member. Quintessentially shall have no liability for any items held by customs or border agencies.

7.5 In the case of premium courier services, if the order cannot be delivered at the first attempt, the Member may incur further charges for subsequent delivery attempts.

8. RETURNS

8.1 Returns shall be made in compliance with the terms and conditions and any limitations established by the relevant Provider. It shall be the Member’s sole responsibility to retain all proof of return of goods to a Provider. Quintessentially recommends returning the goods by registered delivery, or by any other similar means of ascertaining the date of the return dispatch and tracking the return. The Provider shall have the right to debit the Member for any damaged or missing item. Wherever possible, Quintessentially will communicate to the Member that a refund procedure has been commenced by a Provider.

9. LIABILITY

9.1 Quintessentially undertakes to perform the Services using reasonable care and skill and – as far as possible- in accordance with the requests and instructions issued by the Member. Whenever Quintessentially makes available to the Member goods or services provided by third parties, Quintessentially is acting as an agent in the purchase of the goods or services. Quintessentially shall select with due diligence the Provider and shall ensure that an order is being forwarded to the Provider in accordance with the wishes of the Member. In order to avoid misunderstandings, it is hereby clarified that Quintessentially does not recommend Services nor does it express opinions on the information or suggestions referred to the services. The Member shall use their own judgment and competence, taking upon him/herself all responsibilities to rate the quality, value and appropriateness of such information and suggestions to decide whether to enter into an agreement with the third party providing the Services or selling the products.

9.2 The contract for the purchase of goods or services is entered exclusively between the Member and the Provider concerned. Quintessentially acts only as an agent of the Provider and, unless otherwise expressly agreed, all the rights and remedies at the disposal of the Member shall be enforced against the Provider. In the legal framework currently in force, these Terms and Conditions do not confer any rights or remedies to other parties.

9.3 Quintessentially shall not be held liable for products or services offered as agent of the Providers or in the context of the business relation between the Member and a particular Provider. Nevertheless, Quintessentially will do whatever reasonably possible to assist the Member in their business relation with

the Provider.

9.4 The Member agrees that every contract entered into with a Provider is a separate contract. Quintessentially accepts no responsibility for acts or omissions by the Providers or for any damage suffered by the Member as a consequence of a Provider’s acts or omissions, irrespective of its involvement.

9.5 Except in the case of death or personal injuries caused by Quintessentially’s fraud or gross negligence and in the cases expressly envisaged by these Terms and Conditions, Quintessentially shall not be liable for any damage, costs, expenses or loss of any nature (direct or indirect) caused by the provision of services or as a consequence of a Member’s reliance on information and suggestions received by Quintessentially leading to the provision of goods or services by a third party.

9.6 Quintessentially shall not be liable towards the Member for loss, damage, costs, expenses or other claims for damages deriving from requests or instructions issued by the Member that are incomplete, incorrect or inaccurate, received late or not received at all, or by any other default attributable to the Member.

9.7 Quintessentially shall not be liable towards the Member for loss, damage, costs, expenses or other claims for damages deriving from requests forwarded by the Member on behalf of other parties. Furthermore, these parties have no claim to act either directly or indirectly through the Member or through other parties against Quintessentially for loss, damage, costs, expenses or other claims

for damages deriving from requests or instructions issued by the Member to the benefit of other parties.

9.8 Upon written request notified by Quintessentially, the Member shall compensate the Company for any cost borne or loss suffered directly deriving from the Member’s behaviour.

9.9 Quintessentially shall not be held liable towards the Member nor shall it be held defaulting with respect to the obligations set forth in these Terms and Conditions for services performed late or not performed as a consequence of causes out of its reasonable control.

9.10 To the extent allowed by applicable laws, liability shall be within the maximum limit of the value of the services provided to the Member until the date of the claim.

9.11 This section applies solely to the extent allowed by the law.

10. AMENDMENTS TO THE RULES OF THE MEMBERSHIP

10.1 From time to time Quintessentially may amend these Terms and Conditions, exclusively on the condition that it notifies prior written notice to the Members and allows them to freely withdraw from the Membership within a grace period of at least 15 days [within a 15 days grace period], without penalties or additional charges. Amendments may be notified by mail, e-mail or by personal delivery.

10.2 The continued use shall constitute assent to the amended Terms and Conditions.

11. GOVERNING LAW AND JURISDICTION

11.1 These Terms and Conditions are governed by Italian law and shall be submitted to the exclusive jurisdiction of the Courts of Milan.

12.1 The personal data of the Members shall be treated in compliance with the Regulation UE 2016/679 “General data protection

regulation” (GDPR) and with any applicable laws as set forth in the Privacy policy statement.

CONCIERGE SERVICES LIFESTYLE BY QUINTESSENTIALLY

The Member ("Member"), undertakes to comply with the following “Terms and conditions” and agrees that these “Terms and conditions” shall be applied to any order placed by the Member with a supplier of products or a provider of services ("Provider").

  1. TERMS OF THE SERVICE
    1. The Concierge service grants the Member access to a 24H personal assistance Service to cater for leisure needs like, for example the booking of a restaurant, the purchase of concert tickets, the reservation of a trip, etc.
    2. Whenever placing a request, the Member has to provide correct personal details. This is a continuing obligation and the Member has to promptly notify to Quintessentially any change in the data provided. Refusal to communicate your data and Information as well as incorrect or incomplete Information may result in the impossibility to perform the contractual obligations envisaged by these Terms and conditions or to ensure their smooth and timely implementation.
    3. The Membership is personal. The Member has to ensure that no one else will use the Concierge Service.
    4. The Member may appoint personal representatives to make requests, discuss open requests, and modify requests on behalf of the Member.
    5. The personal representatives may not use the service for own use.
    6. Quintessentially reserves the right to accept commissions on the supply of products or the provision of services from any supplier or Provider.
  1. MEMBERSHIP BENEFITS

2.1 As a Member, you are entitled to the Benefits reserved to the Members of Quintessentially for as long as you are part of Quintessentially.

2.2 The Member understands and agrees that the Benefits and their Providers are subject to availability and that, from time to time, they may vary without notice.

2.3 It is our goal to ensure that the Benefits are always available and that new [Services/Benefits] are constantly added, so that the Member may enjoy its membership to the fullest extent. Should a particular Service be no longer available we shall use our best endeavours to ensure that the commitments undertaken are honoured in the best possible way.

  1. OPERATION

3.1 Members may forward their requests only by telephone or e-mail.

3.2 Quintessentially shall put at the disposal of its Members the Services requested either in Italian or in English. These comprise the forwarding of Information, access to event, activities and locations, products and services. Nevertheless, Quintessentially is not obliged to deliver or facilitate access to products or Services that it deems may violate laws and regulations in force or be against public order. Quintessentially reserves the right to withdraw any Service and /or to refuse to provide the Services requested.

3.3Quintessentially shall use its reasonable endeavours to meet any performance dates specified, but any such dates shall be estimates only and time shall not be an essential condition for the performance of any Service. Should Quintessentially be unable to meet a request it will timely inform the member concerned and in any case within 30 minutes.

3.4 Full responsibility for any product, Service or Benefit selected by the Members is on the Providers, each for its own part. Quintessentially shall communicate with the Providers on behalf of the Members, unless it is deemed more appropriate that a Member contacts a Provider directly.

3.5 The Providers may impose their own terms and conditions, which the Member will have to respect. Therefore, Quintessentially recommends to its Members to read the terms and conditions for the provision also because these may contain limitations to claims, returns and refunds or specific expiry terms directly applicable to the Member, of which Quintessentially may not be held accountable.

3.6 At the time of the Order, each Member will be entitled to ask to Quintessentially to make the payment on its behalf and mandate using the Member’s payment card. In this case, the Member shall provide to Quintessentially the details of his or her own payment card. It is intended that the provision of the payment card data is not mandatory and discretional for the Member who, however, acknowledges and agrees that in case of lack of communication the payment on his behalf will not be completed and no liability will arise on Quintessentially due to then non-performance of the service.

If the Member allows Quintessentially to use his or her payment card to pay a Provider for products or Services, the Member understands and agrees that Quintessentially may not be held liable in any way for the use of his or her payment card, provided that Quintessentially has strictly abided by the instructions received from the Member.

3.7 The Member undertakes to provide correct data when reserving, ordering or purchasing products and Services; guarantees to be the holder of the payment card used; and ensures that there are sufficient funds to cover the cost of the product or Service.

3.8 At times the purchase or the provision of some Services, products or Benefits may entail the debiting of a handling fee (communicated in advance, in writing): in this case the Member reserves the right to authorise Quintessentially to debit his or her payment card also of the handling fee.

3.9 When instructed to do so by the Member, Quintessentially may purchase goods or Services on his or her behalf. Should in this respect Quintessentially act as a middleman, the Member authorises Quintessentially to charge his or her payment card any amount due within 30 days from the payment date. Should Quintessentially pay for products or Services in cash, it shall be entitled to add to the amount debited on the Member‘s credit card also any credit card processing fees.

3.10 Unless otherwise agreed with the Provider, the Member may not cancel any Service requested when, as per instructions, the performance has already commenced.

3.11 After specific notice, phone calls made to Quintessentially may be monitored or recorded in accordance with applicable rules and regulations.

  1. TRAVEL SERVICES

4.1 Travel Services, including tickets and holiday packages, purchased through Quintessentially shall be subject to the terms and conditions of the tour operator or holiday Provider. Quintessentially is not an authorised travel agent nor a tour operator and acts solely as a middleman on behalf of the Provider. All the rights and remedies at the disposal of the Member shall be enforced against the Provider concerned.

  1. RESTAURANT AND CLUB BOOKING SERVICE

5.1 When using the restaurant booking Service, the Member authorises Quintessentially to debit his or her payment card any deposit disbursed by Quintessentially on his or her behalf, which is forfeited as a consequence of cancellation.

5.2 When using the restaurant booking Service, the Member [+understands] and agrees that, should a reservation be cancelled less than 24 hours in advance, he or she will not be entitled to any refund of the monies disbursed to secure the reservation like, by way of non-limiting example, as a deposit.

5.3 Quintessentially reserves the right to deny restaurant requests coming from Members repeatedly failing to honour their bookings or continuously breaching cancellation policies.

5.4 Admission of Members to any club premises is at all times at the sole discretion of the club’s management, and Quintessentially shall have no liability if a Member is refused admission to a club.

  1. TICKETS

6.1 Quintessentially shall use its best endeavours to obtain “best tickets”, also for sold-out events, either directly or through one of its ticket agent partners. Please note that the price for tickets purchased through Quintessentially or one of its Partners is above face value and it includes handling fees and other expenses borne by Quintessentially to obtain the best seats.

6.2 Cancellations and refunds on tickets purchased are subject to the terms and conditions of the ticket Provider concerned.

6.3 In the event of a show being cancelled directly by the artist or the promoter, only the refund of the ticket face value is guaranteed. Delivery expenses are non-refundable.

6.4 Quintessentially and its ticket agent partners shall not be liable for any failure to deliver tickets by couriers or the mail service

We strive to provide you with choices regarding certain personal data uses, particularly around marketing and advertising:

Promotional offers from us

We may use your Identity, Contact, Technical, Usage and Profile Data to form a view on what we think you may want or need, or what may be of interest to you. This is how we decide which products, services and offers may be relevant for you (we call this marketing).

You will receive marketing communications from us if you have requested information from us or placed a request with us or purchased goods or services from us or if you provided us with your details when you entered a competition or registered for a promotion and, in each case, you have not opted out of receiving that marketing.

Third-party marketing

We will get your express opt-in consent before we share your personal data with any company outside the Quintessentially group of companies for marketing purposes.

Opting out

You can ask us or third parties to stop sending you marketing messages at any time by contacting us at any time.

Where you opt out of receiving these marketing messages, this will not apply to personal data provided to us as a result of a product/service purchase, product/service experience or other transactions.

Change of purpose

We will only use your personal data for the purposes for which we collected it, unless we reasonably consider that we need to use it for another reason and that reason is compatible with the original purpose. If you wish to get an explanation as to how the processing for the new purpose is compatible with the original purpose, please contact us.

If we need to use your personal data for an unrelated purpose, we will notify you and we will explain the legal basis which allows us to do so.

If a change happens to our business, then the new owners may use your personal data in the same way as set out in this privacy notice.

We require all third parties to respect the security of your personal data and to treat it in accordance with the law. We do not allow our third-party service providers to use your personal data for their own purposes and only permit them to process your personal data for specified purposes and in accordance with our instructions.

  1. INTERNATIONAL TRANSFERS

We share your personal data within the Quintessentially Group. This will involve transferring your data outside the European Economic Area (EEA).

Many of our external third parties are based outside the European Economic Area (EEA) so their processing of your personal data will involve a transfer of data outside the EEA.

Whenever we transfer your personal data out of the EEA, we ensure a similar degree of protection is afforded to it by ensuring at least one of the following safeguards is implemented:

  • We will only transfer your personal data to countries that have been deemed to provide an adequate level of protection for personal data by the European Commission.
  • Where we use certain service providers, we may use specific contracts approved by the European Commission which give personal data the same protection it has in Europe.
  • Where we use providers based in the US, we may transfer data to them if they are part of the Privacy Shield which requires them to provide similar protection to personal data shared between the Europe and the US. For further details, see European Commission: EU-US Privacy Shield.

We have put in place appropriate security measures to prevent your personal data from being accidentally lost, used or accessed in an unauthorised way, altered or disclosed. In addition, we limit access to your personal data to those employees, agents, contractors and other third parties who have a business need to know. They will only process your personal data on our instructions and they are subject to a duty of confidentiality.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

How long will you use my personal data for?

We will only retain your personal data for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements.

To determine the appropriate retention period for personal data, we consider the amount, nature, and sensitivity of the personal data, the potential risk of harm from unauthorised use or disclosure of your personal data, the purposes for which we process your personal data and whether we can achieve those purposes through other means, and the applicable legal requirements.

By law we have to keep basic information about our customers (including Contact, Identity, Financial and Transaction Data) for six years after they cease being customers for tax purposes.

In some circumstances we may anonymise your personal data (so that it can no longer be associated with you) for research or statistical purposes in which case we may use this information indefinitely without further notice to you.

No fee usually required

You will not have to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request is clearly unfounded, repetitive or excessive. Alternatively, we may refuse to comply with your request in these circumstances.

What we may need from you

We may need to request specific information from you to help us confirm your identity and ensure your right to access your personal data (or to exercise any of your other rights). This is a security measure to ensure that personal data is not disclosed to any person who has no right to receive it. We may also contact you to ask you for further information in relation to your request to speed up our response.

Time limit to respond

We try to respond to all legitimate requests within one month. Occasionally it may take us longer than a month if your request is particularly complex or you have made a number of requests. In this case, we will notify you and keep you updated.

Lawful Basis

Legitimate Interest means the interest of our business in conducting and managing our business to enable us to give you the best service/product and the best and most secure experience. We make sure we consider and balance any potential impact on you (both positive and negative) and your rights before we process your personal data for our legitimate interests. We do not use your personal data for activities where our interests are overridden by the impact on you (unless we have your consent or are otherwise required or permitted to by law). Performance of Contract means processing your data where it is necessary for the performance of a contract to which you are a party or to take steps at your request before entering into such a contract.

Comply with a legal or regulatory obligation means processing your personal data where it is necessary for compliance with a legal or regulatory obligation that we are subject to.

Other companies in the Quintessentially Group acting as joint controllers or processors and who are based in the United States of America, the United Arab Emirates and Hong Kong and provide:

  • services pursuant to the contract we are about to enter into or have entered into with you.
  • IT and system administration services and undertake leadership reporting.

External Third Parties

  • Franchise partners acting as joint controllers or processors who may provide services pursuant to the contract we are about to enter into or have entered into with you.
  • Service providers acting as processors who provide IT and system administration services.
  • Professional advisers acting as processors or joint controllers including lawyers, bankers, auditors and insurers who provide consultancy, banking, legal, insurance and accounting services.
  • HM Revenue & Customs, regulators and other authorities acting as processors or joint controllers based in the United Kingdom who require reporting of processing activities in certain circumstances.

Your Legal Rights

You have the right to:

Request access to your personal data (commonly known as a "data subject access request"). This enables you to receive a copy of the personal data we hold about you and to check that we are lawfully processing it.

Request correction of the personal data that we hold about you. This enables you to have any incomplete or inaccurate data we hold about you corrected, though we may need to verify the accuracy of the new data you provide to us.

Request erasure of your personal data. This enables you to ask us to delete or remove personal data where there is no good reason for us continuing to process it. You also have the right to ask us to delete or remove your personal data where you have successfully exercised your right to object to processing (see below), where we may have processed your information unlawfully or where we are required to erase your personal data to comply with local law. Note, however, that we may not always be able to comply with your request of erasure for specific legal reasons which will be notified to you, if applicable, at the time of your request.

Object to processing of your personal data where we are relying on a legitimate interest (or those of a third party) and there is something about your particular situation which makes you want to object to processing on this ground as you feel it impacts on your fundamental rights and freedoms. You also have the right to object where we are processing your personal data for direct marketing purposes. In some cases, we may demonstrate that we have compelling legitimate grounds to process your information which override your rights and freedoms.

Request restriction of processing of your personal data. This enables you to ask us to suspend the processing of your personal data in the following scenarios: (a) if you want us to establish the data's accuracy; (b) where our use of the data is unlawful but you do not want us to erase it; (c) where you need us to hold the data even if we no longer require it as you need it to establish, exercise or defend legal claims; or (d) you have objected to our use of your data but we need to verify whether we have overriding legitimate grounds to use it.

Request the transfer of your personal data to you or to a third party. We will provide to you, or a third party you have chosen, your personal data in a structured, commonly used, machine-readable format. Note that this right only applies to automated information which you initially provided consent for us to use or where we used the information to perform a contract with you.

Withdraw consent at any time where we are relying on consent to process your personal data. However, this will not affect the lawfulness of any processing carried out before you withdraw your consent. If you withdraw your consent, we may not be able to provide certain products or services to you. We will advise you if this is the case at the time you withdraw your consent.
